Oil and Gas merger: OGR was the lead consultant to energy company merger and acquisition of another similar company. Our client was facing an unsolicited outside bid at a much higher price. We successfully raised national security issues on the purchase and worked with Congressional leaders to add a federal review process to the purchase. The result was that our client was successful. Our client saved nearly $2 billion dollars, the price the competitor was willing to pay for the energy company.
Foreign purchase: OGR represented a major private equity firm selling domestically held Fixed Based Operators to Middle Eastern purchaser. The sale was less than one year after the Dubai Ports exchange debacle. OGR successfully managed the political risk on Capitol Hill. Furthermore, OGR worked with Administration officials to seek successful approval through the CFIUS process.
Domestic Purchase of Foreign Asset: OGR represents another private equity fund focused on infrastructure related projects. The fund purchased the American Ports from a Middle Eastern owner under much US government scrutiny. We worked closely with Congress and the New York/New Jersey delegation to ensure the purchase was completed under the timetable established. We continue to work with the fund as it expands it port operations, adding another New Jersey port last month.
Portfolio Company Investment: OGR represented a private equity portfolio company investment in the satellite business. The firm worked with the House and Senate to pass the ORBIT Act, legislation that enabled the underlying company to go public and be sold to a strategic buyer at a significantly increased valuation.
